These Terms of Use (“Terms”) form a legal agreement between Viviane Health Technologies Limited (“Viviane Health”, “We”, “Us”, or “Our”) and you, the individual or organization (“You” or “Your”) concerning Your access to and use of the various platforms, products, and services provided by Viviane Health. By accessing or using any of Our services, You acknowledge that You have read, understood, and agreed to be bound by these Terms, as well as Our Privacy Policy, Information Security Policy, and other applicable policies that may be updated from time to time.

Viviane Health Technologies Limited is a Nigerian healthcare technology company dedicated to providing a comprehensive suite of digital health infrastructure solutions for healthcare providers, laboratories, pharmacies, and allied healthcare institutions. Our ecosystem includes Viviane HMS (Hospital Management System), Viviane LIMS (Laboratory Information Management System), Pharmware (Pharmacy & Inventory Manager), Nadia (Physiotherapy EHR), Viviane RIS (Radiology Information System), Viviane Builder (Healthcare Website Builder), Viviane HR, Viviane Inventory, Viviane CDSS (Clinical Decision Support System) and the Viviane Account Manager for unified authentication and access control.

Viviane Health does not provide clinical care, medical advice, or health services. We provide digital tools that empower healthcare professionals and institutions to manage operations, records, analytics, and service delivery efficiently.

2. Updates and Modifications

Viviane Health may revise or update these Terms at any time. Updated versions will be posted on our official website (www.vivianehealth.com) with the effective date stated. By continuing to use Our Platforms after updates are posted, you accept the modified Terms.

Viviane Health offers the following core products and services:

  • Viviane HMS: A digital hospital management suite that streamlines patient registration, billing, and clinical workflows.
  • Viviane LIMS: A Laboratory Information Management System for diagnostic data, tests, and result management.
  • Viviane CDSS: An advanced Clinical Decision Support System for doctors and specialists.
  • Pharmware: A pharmacy and inventory management tool for dispensing and stock tracking.
  • Nadia: An electronic health record system for physiotherapy and allied health practices.
  • Viviane Builder: A web builder tool enabling healthcare institutions to create and manage professional websites.
  • Viviane Account Manager: A unified authentication and authorisation portal across Viviane modules.
  • Public Health & Analytics: Data-driven tools supporting insights, partnerships, and health system strengthening initiatives.

4. Acceptable Use

You agree to use Viviane Health Platforms only for lawful purposes. You shall not engage in any action that could harm, disable, or interfere with the functionality, security, or availability of our systems or networks. Prohibited uses include hacking, reverse engineering, unauthorised data scraping, impersonation, and transmission of malware or illegal content.

5. Data Privacy and Security

Your use of Viviane Health Platforms constitutes consent to our collection and processing of data as outlined in our Privacy Policy. We handle personal and institutional data with confidentiality and employ administrative, physical, and technical safeguards to protect information integrity and security.

6. Intellectual Property Rights

All intellectual property rights in the Viviane Health Platforms, software, trademarks, and content belong exclusively to Viviane Health Technologies Limited. You are granted a limited, non-exclusive, non-transferable right to use the Services for authorised purposes only.

7. Limitation of Liability

Viviane Health provides all products and services on an 'as-is' basis. We are not responsible for any clinical, operational, or financial decisions made using Our Platforms. To the maximum extent permitted by law, Viviane Health shall not be liable for indirect, incidental, or consequential damages. The maximum aggregate liability shall not exceed one million naira (₦1,000,000).

8. Indemnification

You agree to indemnify and hold Viviane Health, its affiliates, directors, and employees harmless from any claim, liability, or expense arising from your violation of these Terms or misuse of the Services.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information exchanged in connection with the Services. Viviane Health may disclose data only as required by law or to fulfil its service obligations using authorised subprocessors.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Disputes arising under these Terms shall be resolved amicably where possible. If unresolved within fourteen (14) days, disputes shall be referred to the Lagos State Multi-Door Courthouse for mediation. Viviane Health may seek interim relief from any competent court.

11. Termination

Viviane Health reserves the right to suspend or terminate your account or access to its Platforms for violations of these Terms or for reasons related to system integrity, misuse, or inactivity exceeding twelve (12) months.
